1) Acceptance of Terms

By accessing our website or engaging our consultations, estimates, fabrication, product purchases, or installation services ("Services"), you agree to these Terms. If you do not agree, do not use our Site or Services.

2) Services & Scope

We provide design and consultation services; supply of products (e.g., cabinets, countertops, flooring, accessories); countertop fabrication; and installation for kitchens, baths, and related interiors. The final scope for any project is defined only by the written proposal/contract, drawings, and approved selections ("Agreement Documents").

3) Quotes, Pricing & Validity

Written quotes/estimates are typically valid for 30 days unless otherwise stated. Pricing may change due to supplier increases, measurement variances, or client‑requested changes. Materials are subject to availability at time of order.

4) Deposits, Invoices & Payment

Project deposits are required to reserve materials/fabrication time. Progress payments follow the Agreement Documents. Unpaid balances may pause work, delay delivery, or incur late fees as permitted by law. Title to goods passes upon full payment. Financing may be available through third‑party providers; approval and terms are governed by those providers.

5) Change Orders

Any alteration to design, materials, layout, schedule, or access after approval requires a written change order with any associated price/time adjustments.

6) Site Conditions & Client Responsibilities

Client shall: (a) provide safe, clear access; (b) ensure utilities are available; (c) obtain HOA/landlord approvals where applicable; and (d) disclose known site issues. We are not responsible for pre‑existing conditions, code deficiencies, concealed conditions (e.g., rot, plumbing/electrical issues), or delays caused by third parties or permitting.

7) Permits & Code

Unless expressly included, permits/engineering are the client’s responsibility. Work will be performed to generally accepted industry standards; specific code upgrades not shown in Agreement Documents may require additional cost/time.

8) Materials, Samples & Natural Variation

Stone, wood, tile, and other finishes may vary in color, veining, graining, and texture. Such natural variation is not a defect. Samples/photographs are representative, not exact matches.

9) Delivery, Storage & Risk of Loss

We may deliver materials to the site prior to installation. Client is responsible for safeguarding delivered materials from theft, weather, or damage if stored at site.

10) Fabrication & Installation Standards

Countertops are fabricated per approved layouts and field dimensions. Standard tolerances, seams, overhangs, and reinforcements are determined by material properties and safety/industry practice.

11) Workmanship Warranty (Jobs We Do)

We warrant our workmanship on installed work for 12 months from substantial completion unless otherwise stated in writing. This warranty covers correction of workmanship defects only. It excludes: damage due to misuse, neglect, lack of maintenance, settlement, acts of others, exposure to chemicals/heat, normal wear, material movement, and natural variation. Third‑party product warranties (e.g., appliances, fixtures, cabinets) are provided by their manufacturers and are passed through to the extent permitted.

12) Exclusions & Limitations

Unless explicitly included: appliance hookup, painting, drywall/finish repairs beyond ordinary patching, plumbing or electrical beyond reconnection, haul‑off of unusual debris, or specialty protection/containment are excluded or billable as extras.

13) Delays & Force Majeure

We are not liable for delays caused by events beyond our reasonable control (e.g., extreme weather, supply chain disruptions, labor shortages, strikes, utility outages, governmental actions).

14) Photography & Portfolio

Client grants us a nonexclusive right to photograph completed work for portfolio/marketing (no address or personal identifiers). Notify us in writing before project completion if you wish to opt out.

15) Insurance & Safety

We maintain appropriate insurance for our operations. Client agrees to maintain a safe jobsite and keep children/pets away from work areas.

16) Limitations of Liability

To the fullest extent permitted by law, our total liability for any claim arising out of the Agreement or Services is limited to the amount paid to House of Grace LLC for the specific portion of work giving rise to the claim. We are not liable for incidental, indirect, special, or consequential damages (e.g., loss of use or profit).

17) Indemnification

Client shall indemnify and hold harmless House of Grace LLC from claims, damages, and expenses (including reasonable attorneys’ fees) arising from client’s breach, misuse, or unsafe site conditions not caused by us.

18) Termination

Either party may terminate for material breach after written notice and an opportunity to cure. Client remains responsible for payment for completed work, special‑order materials, restocking fees, and reasonable demobilization costs.

19) Dispute Resolution & Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia. Venue lies in the state courts of Virginia located in [insert county/city]. Prior to litigation, the parties agree to attempt good‑faith negotiation (or mediation if agreed in writing).

20) Updates to Terms

We may update these Terms periodically. The current version will be posted on our website with the Effective Date.
